AI Policy
The following additional terms apply to the use of the AI-related Services below. These terms are an integral part of the Agreement. Notwithstanding anything to the contrary in the Agreement, to the extent of any conflict between the terms herein (the “AI Policy”) and the terms of the MSSA or applicable Service Order, the AI Policy will prevail. Capitalized terms used but not otherwise defined herein will have the meanings ascribed to them in the MSSA. This AI Policy may be updated from time to time. Unless explicitly defined in the Agreement, “MSSA” will mean the definitive agreement (and any exhibits, addenda, and other supplements thereto) governing the services between the Parties.

| “AI Input” | means any and all content, data, instructions, prompts or information provided to or processed by the AI System. “AI Input” provided by Customer constitutes Customer Content under the MSSA. |
| “AI Output” | means any and all content, data or output created or generated by the AI System. |
| “AI System(s)” | means any software, system, technology or tool made available to, or connected with Customer by Amadeus, its affiliates or their respective licensors under the Agreement that is: (a) a machine-based system or model that is designed to operate with varying levels of autonomy and that can, for explicit or implicit objectives, generate outputs such as predictions, recommendations or decisions that influence physical or virtual environments; or (b) a technology, system or tool enabled by a machine-based system or model of the type referred to in (a), as the case may be. |
| “Amadeus AI System” | means the AI Systems developed by Amadeus or its affiliates, or on behalf of Amadeus by an Amadeus subcontractor, as detailed in the applicable Service Order. For clarity, Amadeus AI Systems do not include third-party AI Systems that connect to Amadeus products or services, Third-Party AI, or other Third-Party Offerings. |
| “Bias” | means any material inclination or prejudice for or against one person or group, in a way considered to be: (i) unfair; (ii) discriminatory; or (iii) contrary to applicable law, and “Biased” will be construed accordingly. |
| “EU AI Act” | means Regulation (EU) 2024/1689 of the European Parliament and of the Council of 13 June 2024, which provides harmonized rules on artificial intelligence, as such regulation may be amended or superseded from time to time. |
| “Prohibited AI” | means any AI Systems prohibited under the EU AI Act or any other legislation. |
| “Third-Party AI” | means any part of an AI System that is provided to Amadeus or Customer by a third-party supplier and used in connection with the services provided by Amadeus to Customer. |
1. AI compliance
1.1 Each Party will, upon request, provide commercially reasonable assistance, at its own cost, to the other Party to assist such party comply with artificial intelligence laws and regulations applicable in connection with the AI Systems provided that each party will remain solely responsible for its own legal and compliance obligations. Any assistance that exceeds the level of support generally provided to Amadeus’ customers, or that requires significant resources, specialized analysis, or bespoke work, will be subject to mutual agreement and may be charged at Amadeus’ then-current Professional Services rates.
1.2 Customer will not knowingly use or deploy Prohibited AI in the use of the AI Systems; and Amadeus will not knowingly deploy Prohibited AI in the provision of Amadeus AI System.
1.3 Amadeus has the right to temporarily suspend the access or use of the AI System by any Customer (or its users) that Amadeus, acting in good faith, reasonably suspects is (i) engaged in a violation of this AI Policy or other unauthorized conduct, or (ii) using the Services, Amadeus AI Systems, or any Third‑Party AI in a manner that creates, or reasonably may create, additional risk to Amadeus, the Services, Amadeus AI Systems, Third‑Party AI Systems, or Amadeus’ customers, partners, or infrastructure. Where practicable, Amadeus will attempt to notify Customer prior to or contemporaneously with such suspension; provided, however, that Amadeus’ exercise of its suspension rights will not be conditioned upon Customer’s receipt of such notice. Customer acknowledges and agrees that Amadeus will have no liability to Customer or any third party arising from or related to any suspension exercised in accordance with this provision. Upon Amadeus’ determination that the conduct giving rise to the suspension has ceased and/or been satisfactorily remediated and will not recur, Amadeus will reinstate the affected Customer access to the Services. For the avoidance of doubt, any suspension rights exercised under this Section are in addition to, and not in limitation of, any other rights or remedies available to Amadeus under the Agreement or at law.
2. Explainability, BIAS and Transparency
2.1 Amadeus will consider (i) the ability of Customer to understand and use the Amadeus AI System, and (ii) obligations to avoid Bias, in the design, deployment and testing of the Amadeus AI System. Upon Customer’s written request, Amadeus may, in its sole discretion, provide information Amadeus believes is necessary to assist the Customer to explain the use of the Amadeus AI System under applicable law, provided that the Customer will remain solely responsible for its own assessment of what is required to demonstrate compliance.
3. Intellectual Property
3.1 Excluding Customer Data, the Parties acknowledge and agree that, as between Customer and Amadeus, all rights and titles in and to any Intellectual Property Rights arising as a result of the use, implementation or adoption of the AI System under the Agreement, including all enhancements, modifications, extensions, upgrades, and/or derivative works of the AI System, will be Amadeus Intellectual Property Rights.
3.2 Customer hereby grants Amadeus a perpetual, irrevocable, worldwide, royalty‑free, sublicensable, and transferable license to use, reproduce, modify, create derivative works from, analyze, train on, and incorporate into AI Systems any prompts and the AI Outputs (insofar as such Outputs do not constitute Amadeus Intellectual Property Rights) for the development, operation, maintenance, improvement, and enhancement of Amadeus’s AI Systems and its services, subject to compliance with Provider Laws.
3.3 Amadeus may use any feedback and suggestions for improvements in relation to the AI System without charge or limitation. Customer acknowledges and agrees that any Intellectual Property Rights arising in such feedback, suggestions or the related improvements will be owned exclusively by Amadeus, and Customer hereby assigns absolutely and with full title guarantee to Amadeus any such Intellectual Property Rights.
3.4 Customer acknowledges that due to the nature of AI Systems, machine learning and deep learning, AI Output may not be wholly unique and the AI System may generate the same or similar output for other third parties.
4. WARRANTIES
4.1 Notwithstanding anything to the contrary in the Agreement, Amadeus provides the AI Systems and all related assistance to the Customer on an “as is” basis and disclaims all warranties, whether express or implied, including warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. No provision in the Agreement — including any commitment, representation, or obligation — will be interpreted or construed as contradicting, limiting, or overriding the terms of this Section 4.1.
4.2 Customer acknowledges that: (a) the AI Systems and the Services may incorporate or rely upon Third-Party AI, and Amadeus does not control, and is not responsible for, the training data, model architecture, or underlying operations of any Third-Party AI; (b) due to the probabilistic nature of artificial intelligence and machine-learning systems, the AI Systems (including any Third-Party AI) may generate outputs that are incorrect, incomplete, misleading, or that do not reflect real-world facts (“Hallucinations”), and such characteristics do not constitute a defect or give rise to any warranty or indemnity obligation of Amadeus; and (c) Amadeus does not warrant that any AI Output or Third-Party AI output will be accurate, complete, non-infringing, or suitable for any particular purpose, and Customer assumes all risk arising from its reliance on AI Output or Third-Party AI output.
4.3 Customer represents and warrants that it has all necessary rights, consents, and lawful bases to provide any data, content, or information (including personal data) used as AI Input, and that such data is accurate, appropriate, and lawful for use in connection with the AI System.
5. Third-Party Providers
5.1 To the extent that the Services or an AI System includes Third-Party AI, such Third-Party AI is a “Third Party Offering” (or Third-Party Services or similar concept) under the MSSA and may be subject to additional terms at https://www.amadeus-hospitality.com/legal/mssa/3p/, which apply only to that Third-Party AI component. Amadeus may add, remove, or replace Third-Party AI at any time in its sole discretion.
6. LIABILITY AND INDEMNITY
6.1 Notwithstanding anything to the contrary in the Agreement:
6.1.1 Customer, at its expense, will defend Amadeus against any and all actions, proceedings, claims, and demands by a third party incurred by Amadeus, arising out of, or in connection with or related to: (a) any third-party Intellectual Property Rights infringement claims, to the extent that such claims arise from and/or are in connection with the Customer’s or its Affiliates’, personnel’s (including Authorized Users) use of the AI System other than in accordance with this AI Policy; and (b) any use of the AI System by the Customer, its Affiliates or their users in violation of the Agreement, including this AI Policy. Customer will pay all damages imposed by settlement or final judicial judgment and all reasonable expenses (including reasonable attorneys’ fees) incurred by Amadeus in connection with any such claim.
6.1.2 With respect to the indemnification obligations above, the indemnification procedures set forth in the MSSA will apply.
6.1.3 Amadeus will not be liable to Customer under the Agreement, including this AI Policy, to the extent that any claim (including any Third-Party Claim) arises from:
(a) the AI Input or AI Output (or any combination thereof) provided by or on behalf of the Customer;
(b) Customer’s failure to enable, or its interference with, any filters, safeguards, or tools made available by Amadeus for the AI System or any Third-Party AI, or failure to follow Amadeus’ reasonable instructions or documentation;
(c) any use of the AI System, Third-Party AI, or Amadeus Intellectual Property Rights by Customer in a manner that breaches the Agreement, including this AI Policy; or
(d) continued use by Customer of the AI System, AI Input, AI Output, Amadeus Intellectual Property Rights, or Third-Party AI after receiving written notice from Amadeus that Customer should cease use thereof, including because such use may infringe a third party’s rights.
(e) The quality, accuracy, legality, Bias or appropriateness of AI input;
(f) Customer’s decision to use or rely upon AI Output or Third-Party AI output;
(g) any claim that Customer Data was not suitable for training, testing, or processing by the AI System.
7. MODIFICATIONS TO AI SYSTEM
7.1 Where any change or update in regulation, legislation, applicable guidance, or market practice affects the Amadeus AI System or any Third-Party AI, Amadeus may, acting reasonably, make and implement any modifications to the operation or output of the AI Systems and may deploy a circuit breaker within such system, as Amadeus determines necessary to address such change. This Section 7.1 will be in addition to any other right of Amadeus arising under law or the Agreement.
7.2 To the extent Amadeus makes any amendments to, or deploys a circuit-breaker in, the AI System or Third-Party AI in accordance with Section 7.1, Customer will not be entitled to any compensation or refund or claim any breach of the Agreement.
8. Customer Obligations
8.1 Customer warrants that it will:
8.1.1 use the AI System, and AI Outputs in a responsible and ethical manner and not in any way which may damage the reputation of Amadeus;
8.1.2 comply with all reasonable instructions provided by or on behalf of Amadeus relating to the use of the AI System;
8.1.3 maintain appropriate procedures for human oversight and intervention in its use of the AI System, and AI Outputs at all times; and
8.1.4 comply with all applicable laws and regulations relating to its use of the AI System, and AI Outputs and will not use the AI System, Third-Party AI or AI Outputs for any unlawful purpose.
8.2 Any breach of Section 8.1 will be considered a material breach of the Agreement by Customer.
