Amadeus Outpayce Payment Solutions Terms
The following additional terms apply to the use of the Payment Solutions (as defined below) or any Payment Solution-related Professional Services. These terms are an integral part of the Agreement. These Payment Solutions Terms may be updated from time to time.
Any capitalized terms not defined in these terms have the meanings provided in the Agreement.

DEFINITION OF PAYMENT SOLUTIONS
“Payment Solutions” are defined as the services that Customer obtains from either Amadeus Hospitality, Inc. or its Affiliate executing the Agreement (“Amadeus”), and that may be developed by Outpayce, S.A.U. (“Outpayce”) or another Amadeus Affiliate, to enable payment processing services through the Amadeus Central Reservations System and iHotelier® Booking Engine and which include the following solutions as may be updated from time to time https://outpayce.com/en/legal/legal-documents/product-descriptions:

OTHER DEFINITIONS
The following additional definitions shall apply to these terms:
- APM means a provider of an alternative method of payment to global Card Schemes, such as real time bank transfer, offline bank transfer, direct debits, e-wallets, prepaid cards, pay now buy later, QR payment, and third-party managed cash payment options.
- Bespoke Provider means a third-party payment or tokenization services provider which is integrated into the Payment Platform at Customer’s request, therefore becoming a Customer Selected Provider. For clarity, Bespoke Providers qualify as Third Party Offerings under the Agreement.
- Business Rules means the set of rules/parameters established by Customer to regulate some processes or modules of the Payment Platform and how to trigger transactions.
- Card Schemes means Visa International, Visa Inc, Visa Europe, MasterCard Worldwide, MasterCard International and Maestro, American Express, Diners Club International, Discover Financial Services, China Union Pay, JCB, and any other card sponsorship organization or association that governs the issuing and use of credit, debit, or pre- paid cards.
- Charges means the fees payable by Customer to Amadeus in exchange for the provision of the Payment Solutions and Professional Services, as stated in the applicable Service Order or Change Order, as applicable, related to the Payment Solutions and/or Professional Services.
- Cutover means the date on which a Payment Solution is made available by Amadeus in a production environment for the use of Customer or Customer Licensee.
- Customer Selected Provider means any third-party selected by the Customer (including Bespoke Providers and third parties mandated by any applicable local or regulatory requirements) which provides payment services to Customer through the Payment Platform. For clarity, Customer Selected Providers qualify as Third Party Offerings under the Agreement.
- Industry Mandates mean the industry mandates and rules published from time to time by Card Schemes, the Payment Card Industry or IATA.
- Payment Platform means the combination of networks, terminals, systems and servers, and associated infrastructure, including any hardware, software, and tools, which are operated by Outpayce or an Amadeus Affiliate and used to support and enable the Payment Solutions.
- Regulatory Change means any change in the Law, PCI Data Security Standards, Industry Mandates, APM rules, and/or any local, national, or supranational regulations.

PROFESSIONAL SERVICES.
Amadeus will make Payment Solution-related Professional Services available to Customers on a case-by-case basis and subject to bespoke pricing, as further detailed described in the relevant Change Order executed by the Parties.
- IMPLEMENTATION, UPDATES AND UPGRADES AND DECOMISSIONING
- Implementation. Customer understands that:
- timely implementation of the Payment Solutions and Professional Services depends on the full and timely cooperation of both Customer and any applicable Customer Selected Provider;
- Amadeus may adjust estimated completion dates and apply additional Charges for delays caused by Customer or Customer Selected Provider; and
- if Customer refuses or fails to implement any contracted Payment Solution within six (6) months from the date the implementation plan is shared, such failure will be deemed a unilateral rejection by Customer, entitling Amadeus or its Affiliates to charge time and materials to recover the cost of allocated resources and Amadeus Personnel.
- Updates and Upgrades. Customer understands that:
- it must install and use all updates, upgrades, or modules to software or equipment provided as part of the Payment Solutions, following reasonable notice from Amadeus;
- it must ensure that its Customer Selected Providers update and upgrade their systems at their own or Customer’s expense, with no Amadeus Party bearing any responsibility for any failure to do so;
- neither Amadeus or its Affiliates shall be required to provide Payment Solutions that rely on unsupported software or equipment, and any failure to install required updates, upgrades, or modules will excuse all Amadeus Affiliates from any resulting failure or delay in performance under this Agreement; and
- Amadeus and its Affiliates reserve the right, at their sole discretion, to add patches, create new versions or releases, amend, modify, remove, discontinue, replace, substitute, upgrade, or enhance any functions, components, or data provided through the Payment Solutions, including but not limited to the availability of any specific Customer Selected Provider, at any time.
- Amadeus or its Affiliates may discontinue any Payment Solution and cease its provision, provided that, where reasonably practicable, Amadeus shall give the Customer no less than six (6) calendar months’ prior written notice. In such event, Customer shall not be entitled to claim any damages or compensation from Amadeus.
- Implementation. Customer understands that:

THIRD-PARTY PROVIDERS
- Customer Selected Providers. Customer understands and agrees that:
- Amadeus, through Outpayce, provides the technical connection to Customer Selected Providers at Customer’s instruction and is responsible only for its part of that connection;
- neither Amadeus or its Affiliates shall not be liable for any act or omission of a Customer Selected Provider including transactions processed (or not processed) by Customer Selected Providers;
- Amadeus may disconnect any Customer Selected Provider in case of a breach by Customer Selected Provider of the agreement between Customer Selected Provider and Outpayce or relevant Amadeus Affiliate;
- Each connection to or migration between Customer Selected Providers may incur additional Charges;
- Customer Selected Providers may request additional information to comply with legal or regulatory requirements, and any delay or failure to provide such information may result in disruption or discontinuation of the affected Payment Solutions and/or Professional Services. Accordingly, Customer authorizes Amadeus to prepare and submit, in Customer’s name, all necessary documentation for configuration and to receive and transmit payment-related data and communications.
- Bespoke links to Bespoke Providers. Customer can request the integration of any bespoke link to a Bespoke Provider, subject to the following conditions:
- Customer shall be responsible for ensuring that the terms of use applicable to the Outpayce Payment Platform found here: https://www.amadeus-hospitality.com/wp-content/uploads/2024/08/Terms-of-use-Bespoke-links-providers-Outpayce.pdf are duly executed by the relevant Bespoke Provider. Upon delivery of the terms of use signed by the Bespoke Provider, any Amadeus Party may conduct a customary due diligence on the Bespoke Provider (KYC, security requirements, PCI DSS compliance, etc.).
- The Bespoke Provider shall be required to integrate with the systems of Amadeus or an Amadeus Affiliate using integration tools provided by Amadeus or an Amadeus Party (such as APIs or other bespoke interfaces), at Amadeus’ sole discretion. Upon successful integration, the Bespoke Provider shall be deemed a Customer Selected Provider and shall be subject to all applicable terms set forth herein.
- Customer understands and agrees that any Disputes arising from the acts or omissions of Customer Selected Providers must be resolved directly between Customer and the relevant Third-Party Amadeus and its Affiliates shall bear liability to Customer, its Affiliates, or any third party. Customer shall indemnify Amadeus and its Affiliates against any resulting claims or losses arising based on such claims.
- Customer Selected Providers. Customer understands and agrees that:

OBLIGATIONS OF THE PARTIES
- Customer Obligations. Customer agrees that it shall:
- provide Amadeus with any information and documentation required by Amadeus or Customer Selected Providers, for the provision of the Payment Solutions and Professional Services, including but not limited to PCI DSS attestations, KYC information, audit materials, and data access requests and other regulatory compliance documentation regarding (i) anti-money laundering and counter-terrorist financing Laws, and (ii) any credit solvency information;
- implement and maintain internal risk management and reporting systems, and provide appropriate training to its personnel to support compliance with this Agreement;
- define and maintain the necessary Business Rules relating to the Payment Solutions;
- ensure that all Customer Selected Providers comply with applicable Industry Mandates and PCI DSS obligations, and provide evidence of such compliance within fifteen (15) calendar days upon request by Amadeus;
remain fully responsible for the use of the Payment Solutions and the Payment Platform, including the content of any Customer Data transmitted through it.
- Customer Obligations. Customer agrees that it shall:

LIMITATION OF LIABILITY
Notwithstanding anything to the contrary in Section 10 (Limitation of Liability) of the Agreement, the total aggregate liability of Amadeus and its Affiliates arising out of or in connection with these terms shall be limited to the total amount of Charges actually paid by the Customer to Amadeus for the Payment Solutions under the applicable Service Order during the three (3) month period immediately preceding the occurrence of the event giving rise to such liability. Customer understands and agrees that any service level agreement set forth under the iHotelier® service specific terms or Amadeus Central Reservations Service specific terms do not apply to the Payment Solutions.
