Amadeus End User Agreement

  1. Acceptance of the EUAA. This Amadeus End User Access Agreement is entered into by and between the company or other entity on whose behalf you are acting (“Customer Licensee”) and the applicable Amadeus entity identified below in this Section 1 (“Amadeus”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “EUAA”), govern Customer Licensee’s access to and use of the Amadeus product listed in the relevant ordering document (including any activities to be performed by Amadeus to operate, maintain and support the applicable Amadeus product, the “Product”) made available to Customer Licensee by Amadeus and the entity identified on the relevant ordering document as “Subscribing Customer” (“Subscribing Customer”), and any related implementation, configuration, development work, training or consulting services that Amadeus may perform for Customer Licensee (“Professional Services,” and together with the Product, the “Services”).  Acting in your capacity as an employee or other authorized representative of Customer Licensee, by your using the Services or by your clicking to accept or agree to this EUAA, Customer Licensee accepts and agrees to be bound by this EUAA. This EUAA is effective as of the earliest date on which Customer Licensee first agreed to the EUAA (the “Effective Date”) and will automatically terminate upon the earlier of termination or expiration of (a) the agreement between Amadeus and Subscribing Customer under which Amadeus provides Subscribing Customer-related entities, including Customer Licensee, a license and/or right to use or receive the Services (the “Subscribing Customer Agreement”), (b) other agreement between Subscribing  Customer or its affiliate and Customer Licensee governing Customer Licensee’s use or receipt of the Services; or (c) this EUAA in the event of a material breach of this EUAA by Customer Licensee that remains uncured for thirty (30) days following Customer Licensee’s receipt of notice (email sufficient) of such breach from Amadeus. If multiple agreements under (a) and/or (b) above govern Customer Licensee’s use or receipt of the Services, the EUAA will remain in effect for any Services for which the necessary agreements have not expired or terminated.The applicable Amadeus entity under this EUAA will be as follows: (i) Amadeus Hospitality, Inc, where Customer Licensee is established in Canada, Central America, North America or Latin America; (ii) Amadeus Hospitality UK Limited, where Customer Licensee is established in the Commonwealth of Independent States, Middle East, Ukraine or the United Kingdom; (iii) Amadeus Hospitality Europe S.L., where Customer Licensee is established in other European countries; and (v) Amadeus Hospitality Asia Pacific Pte. Ltd. where Customer Licensee is established in Asia, except for China; and (v) Amadeus Software Technology (Shanghai) Co. Ltd., where Customer Licensee is established in the People’s Republic of China.
  2. Policies and Changes to Terms. The provision and receipt of the Services under this EUAA will be in accordance with Amadeus’ standard practices and policies, which may be updated from time to time (collectively, the “Policies”). The current version of the Policies can be requested at Policies | Amadeus Hospitality, which Customer Licensee acknowledges will be received via email. For clarity, all references to “Customer” in such policies will be deemed to refer to “Customer Licensee” hereunder. Amadeus may update this EUAA and make the revised EUAA available to Customer Licensee through the Services or by other suitable means. Customer Licensee may request the most current version of this EUAA at any time https://www.amadeus-hospitality.com/legal/mssa/euaa/. The version of the EUAA in effect at the time of Customer Licensee’s access or use of the Services applies.
  3. Relationship to Subscribing Customer. Customer Licensee represents and warrants that it owns, manages, and/or franchises one or more properties (e.g., hotel, extended stay facility) operating under a brand owned and/or licensed (where use by such licensees is permitted under the Subscribing Customer Agreement) by Subscribing Customer or an affiliate of Subscribing Customer (“Customer Property”).
  4. Accessing the Services. Subscribing Customer has obtained certain licenses and/or rights under the Subscribing Customer Agreement to use the applicable Services in accordance with this EUAA, which licenses and/or rights Subscribing Customer has allocated to Customer Licensee independently of this EUAA. For the avoidance of doubt, Amadeus does not grant or otherwise convey to Customer Licensee any license or right – express or implied – in or to the Services under this EUAA. For further clarity, the rights allocated by Subscribing Customer to Customer Licensee are, with respect to Customer Licensee, non-transferable and limited to the duration of this EUAA. Customer Licensee will only use the Services (a) in connection with the operation of its business in accordance with Customer Licensee’s franchise agreement, management agreement, or substantially similar agreement with Subscribing Customer or a Subscribing Customer affiliate, and (b) in compliance with this EUAA. Customer Licensee will use and comply with Amadeus’ applicable operating requirements that set forth minimum systems and environment configurations necessary to access and use the Services. Customer Licensee will be notified of such operating requirements from time to time by Amadeus and/or Subscribing Customer. Customer Licensee will provide all requested cooperation and will cause third parties acting on Customer Licensee’s behalf to provide such cooperation, to Amadeus to enable Customer Licensee’s continued access to and use of the Services.
  5. Use Restrictions. Customer Licensee will not, and will not permit or enable any third-party to, access or use the Services to (a) reverse engineer, decompile, disassemble or otherwise attempt to discover the object code, source code or algorithms of any Service, or attempt to identify the detailed logic underpinning its operation; (b) modify, translate or distribute any Services, or create derivative works based on any element of the Services or any related documentation; (c) rent, lease, distribute, sell, resell, assign, or otherwise transfer its rights to access or use the Services; (d) resell any of the Services or use the Services for the benefit of any person or entity other than Customer Properties; (e) remove any proprietary notices; (f) publish or disclose to third parties any reporting or evaluation of or pertaining to the Services without Amadeus’ prior written consent; (g) use a Service for any purpose other than its intended purpose; (h) interfere with or disrupt the integrity or performance of any Service, including by exceeding industry standard capacity usage; (i) introduce any Open Source Software into any Service; (j) create internet links, interfaces or otherwise connect any third party to any Service, unless approved in a Service Order or Change Order and thereafter certified by Amadeus; (k) reproduce, distribute, frame or mirror any part of any Service on any other computer system; (l) access or copy any Service or information therein in order for a similar or potentially competitive product or service to be developed, either directly or indirectly; (m) use any Service in violation of any Customer Laws or third party rights; or (n) attempt to gain unauthorized access to any Service or any related systems or networks.
  6. Service-Specific Terms. The Service-specific terms set forth in the relevant ordering document (“Service-Specific Terms”) shall govern the provision, use and receipt of the applicable Services under this EUAA. In the event of a conflict between the Service-Specific Terms and this EUAA, the Service-specific terms shall prevail.
  7. Third-Party Applications. Customer Licensee will not connect, directly or indirectly, any third-party applications to the Product without Amadeus’ prior written consent. Customer Licensee will seek such consent through Subscribing Customer and not directly from Amadeus. All such third-party connections and use will be subject to the restrictions in Section 5 above as well as each third-party provider’s agreement to and ongoing compliance with Amadeus’ applicable API terms, confidentiality obligations, and security policies.
  8. Usage Optimization. Customer Licensee shall at all times use commercially reasonable efforts to optimize its usage of the Product capacity and shall implement Amadeus’ reasonable recommendations (whether communicated directly or via Subscribing Customer) in relation to such optimization in a timely manner. Customer Licensee will inform Subscribing Customer reasonably in advance of any plans, projects or events that may significantly increase Customer Licensee’s capacity usage of the Product so Subscribing Customer may communicate the same to Amadeus.
  9. Standard Updates and Patches. Amadeus will perform updates or patches to the Product in accordance with Amadeus standard practices. These practices include the Product and related APIs being updated and patched via “minor” and “major” versions. Minor versions are backward compatible to the existing version and should not require Customer Licensee to perform an upgrade. Major versions are not backward compatible. Provider will deprecate a major version upon two (2) subsequent major versions being activated in a production environment. For example, API v1 will be deprecated upon API v3 being activated in a production environment. Customer Licensee agrees to upgrade to a non-deprecated version within the earlier of (i) six (6) months from the activation of a new major version being activated in a production environment, or (ii) within thirty (30) days from written notice by Provider to Subscribing Customer that the version used by Customer Licensee will be deprecated upon the release of a new major version; provided that Customer Licensee acknowledges and agrees that it is Subscribing Customer’s sole responsibility to inform Customer Licensee of any such notice.
  10. Protective Measures. Amadeus has the right to temporarily suspend access to the Services for any Customer Licensee or End User’s, with or without notice, in the event (i) Amadeus in good faith suspects such Customer Licensee or End User is engaged in a violation of this EUAA or other unauthorized conduct, or (ii) any undisputed amounts related to the Product owed by Subscribing Customer are not paid in full in accordance with the terms of the Subscribing Customer Agreement. In addition, Amadeus may, upon detection, take measures to reject, queue, throttle, elongate response times or suspend activity that appears to be the result of a malicious or bad actor, poses a threat to the security of the Product, or may impact the stability, reliability or performance of the Product or connected system. These protection measures are in addition to any other remedies that Amadeus may have under this EUAA or the Subscribing Customer Agreement.
  11. Data Processing. The terms “data controller” and “data processor” shall have ascribed the same meaning under applicable Data Protection Laws. “Data Protection Laws” means all laws and regulations relating to the Processing of Personal Data and privacy, including but not limited to the EU General Data Protection Regulation (2016/679/EC, hereinafter “GDPR”), as well as all laws and regulations implementing or made under them and any amendment or re-enactment of them, as applicable to each party. “Personal Data” means any information relating to a Data Subject. For the purposes of this definition, (i) “Data Subject” means an identified or identifiable natural person; and  (ii) ”Process” means any operation or set of operations which is performed on Personal Data or on sets of Personal Data, whether or not by automated means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.
    1. Customer Licensee represents and warrants that:
      1. Either (a) Subscribing Customer is a processor for Customer Licensee or (b) Subscribing Customer and Customer Licensee are each independent data controllers in relation to the Processing of Personal Data in connection with this EUAA, and such Processing is governed separately between Subscribing Customer and Customer Licensee under their own applicable and appropriate arrangement(s), which shall include the relevant terms to regulate the Processing of Personal Data in compliance with applicable Data Protection Laws, including any additional obligations in connection to international data transfers (e.g., Chapter V of the GDPR or other corresponding provisions under Data Protection Laws).
      2. Customer Licensee shall Process Personal Data in compliance with Data Protection Laws, including without limitation by ensuring that it has obtained and will maintain all necessary notices, approvals and consents from Subscribing Customer and Data Subjects to enable Amadeus to Process Personal Data and perform its obligations hereunder.
    2. Processing of Personal Data by Amadeus in connection with this EUAA is carried out strictly as a processor (or subprocessor) of Subscribing Customer under the instructions of Subscribing Customer. All requests from Customer Licensee concerning the processing of Personal Data by Amadeus under this EUAA will be communicated to Amadeus exclusively through Subscribing Customer, and Customer Licensee (a) instructs Amadeus to rely on the instructions provided by the Subscribing Customer with respect to any such request in accordance with the applicable data processing terms between Amadeus and Subscribing Customer, and (b) delegates enforcement of its rights and oversight of its obligations under applicable law related to data privacy to the Subscribing Customer, including oversight of appropriate technical and organization measures. For the avoidance of doubt, there is no controller to processor relationship between Amadeus and Customer Licensee with respect to Processing Personal Data.
  12. Customer Licensee Data. Customer Licensee hereby authorizes Amadeus to access, use, process and provide to Subscribing Customer and third-parties Customer Licensee Data (as defined below) and any other confidential or proprietary information disclosed by or on behalf of Customer Licensee to Customer Licensee to Amadeus in any form or medium, as required to provide the Services under this EUAA, or as necessary  under the terms of the Subscribing Customer Agreement. In addition, Customer Licensee acknowledges and agrees as follows:
    1. Amadeus monitors and collects data regarding the performance, operation, integrity and security of the Product (“System Data”). As between Amadeus and Subscribing Customer, all right, title and interest in the System Data belongs to and is retained solely by Amadeus.
    2. Amadeus has the right to compile and use data obtained in connection Customer Licensee’s use of the Product, including Customer Licensee Data, provided that any external use is on an aggregated and de-identified basis (“Aggregated Statistics”). Aggregated Statistics will not identify Customer Licensee or include Personal Data. Aggregated Statistics may be analyzed, evaluated, used, distributed and published by Amadeus. As between Amadeus and Customer Licensee, Aggregated Statistics will be deemed Amadeus’ exclusive property.
    3. Customer Licensee acknowledges and agrees that Amadeus neither endorses the contents of any Customer Licensee communications, Customer Licensee Data, or Customer Licensee Content (as defined in Section 21 below) nor assumes any responsibility for any content therein. Customer Licensee is responsible and liable for, and shall ensure and maintain, the completeness, integrity, quality and accuracy of Customer Licensee Data. Amadeus is not obligated to verify, authenticate, monitor or edit the Customer Licensee Data.
      For the purposes of this Section, (i) “Customer Licensee Data” means (whether or not constituting Personal Data) data submitted, uploaded, or otherwise provided by or on behalf of Customer Licensee into the Product, and all processed outputs of such data, expressly excluding System Data, Business Intelligence Data and Media Data, each of which is solely owned by Amadeus; (ii) “Business Intelligence Data” means data stored, posted, displayed, or otherwise made available, through Amadeus business intelligence services (for example, RevenueStrategy360™, Agency360®, Demand360®) or other services; and (iv) “Media Data” means the data in Amadeus’ media accounts with third-parties.
  13. Credentials. Customer Licensee is responsible and liable for End Users (as defined below) and their compliance with the terms of this EUAA. “End User” means any individual person who is granted access to the Product through an account by, or at instruction of, any Customer Licensee using approved and validated credentials pursuant to this Section.  Customer Licensee is responsible for allowing only authorized individuals who have agreed to comply with the terms of this EUAA and maintain such compliance to have access or connect to the Product. End Users must be direct employees of Customer Licensee or a third-party property manager of a Customer Property (“Customer Property Manager”) or individual subcontractors acting in the same professional capacity as such employees who are subject to similar contractual measures and system-use restrictions as employees, generally, and who in each case, may access and use the Product solely for the purpose of managing and supporting Customer Properties. Customer Licensee will not permit or enable any third-party (including, for clarity, personnel of third-party providers of any Customer Licensees) to access the Product, and Amadeus will have the right to immediately prohibit or remove such access. To the extent one or more End Users is an authorized administrator (i.e., can grant and remove access and access levels to Customer Licensees’ End User accounts), such administrators may assign only an individual End User to each account (i.e., no shared accounts, shared passwords, shared logins or by a team) and each End User account must be associated with a Customer Licensee-branded or Customer Property Manager-branded email address (e.g., not a gmail or hotmail or an account associated with a third-party entity). For systems that are authorized to access the Product, such access must be established through a connection certified by Amadeus that operates as an End User. Customer Licensee will, and will ensure that each Customer Property Manager and End User, maintains the confidentiality of all credentials, and Customer Licensee is solely responsible for access and use of the Product that occur using credentials issued to any End Users. Customer Licensee will, and will ensure that Customer Property Managers, restrict End Users from sharing passwords and End User accounts. Customer Licensee is responsible for ensuring each End User’s access to the Product is retired when the End User’s employment or agency is terminated or the individual otherwise no longer is authorized or requires access to the Product.
  14. Data Safeguards. Customer Licensee will use appropriate technical and procedural safeguards that meet or exceed standard industry practices to protect the security, confidentiality and integrity of the Product, Customer Licensee Data, and confidential or proprietary information and prevent unauthorized access thereto (e.g., appropriate password protections for Customer Licensee computers and physical safeguards to protect Customer Licensee credentials). Customer Licensee agrees to immediately notify Amadeus of any unauthorized use of any account or credentials issued to Customer Licensee or End User, any breach or attempted breach of security known to or reasonably suspected by Customer Licensee and any End User that should no longer have access to the Services or the data derived therefrom.
  15. Confidentiality. Customer Licensee will (a) treat any non-public information provided to Customer Licensee regarding the terms of the Subscribing Customer Agreement, this EUAA, the Services, and any Service-related documentation as confidential information, and (b) hold in strict confidence all such confidential information and, except as necessary to provide to Customer Licensee’s professional advisors (e.g., legal and financial consultants), will not disclose such confidential information to any third-party.  In addition, Customer Licensee will use no less than the same safeguards as it uses to protect its own confidential information to protect the confidential information provided by Amadeus to Customer Licensee under this EUAA, and will, in any event, comply with Section 14 above.
  16. No Circumvention of Security. Neither Customer Licensee nor any End User may circumvent or otherwise interfere with any user authentication or security of the Services. Customer Licensee will not, and will not engage or permit a third-party to, perform manual or automated penetration tests, vulnerability assessments, scans or similar computer system tests of any nature on the Product or any of Amadeus’ systems without prior written approval of both Amadeus’ Information Security (CISO or Deputy CISO) and Legal departments (GC or Deputy GC).
  17. Ownership. Customer Licensee acknowledges that the Product is an electronic system that is proprietary to Amadeus. As between Amadeus and Customer Licensee, all right, title, and interest in and to the Services, and all related documentation and any amendments, supplements, or modifications to same, will remain the sole property of Amadeus.
  18. Compliance with Laws. Customer Licensee (and its End Users) will (i) comply with all Laws (as defined below) applicable to their access to and use of the Services and their obligations under this EUAA, including Laws applicable to operators/providers/franchisors/franchisees of lodging accommodations and legally binding requirements that Customer Licensees be able to: (a) meet storage, disclosure and reporting requirements regarding taxes, fees, services charges and rate rules; (b) meet data controller requirements, as applicable, including as to processing of guest personal data in a particular jurisdiction; and (c) comply with accessibility requirements (e.g., Americans with Disabilities Act) (collectively, “Customer Licensee Laws”); (ii) bear all costs related to its compliance with Customer Licensee Laws; and (iii) have and maintain all permits, approvals, certifications, consents and authorizations needed to meet its obligations, and enable Amadeus to perform its obligations, under the EUAA. “Laws” means all (a) supranational, federal (including domestic and international jurisdictions), state, provincial, regional, territorial and local laws, statutes, ordinances, regulations, rules, executive orders, supervisory requirements, implemented directives, and (b) circulars, opinions, interpretive letters and other official releases of or by any government authority, including or any court, authority, department or agency thereof that are legally binding upon Customer Licensee.
  19. Other Representations and Warranties. Customer Licensee represents, warrants and covenants that: (a) it has the full power and authority to enter into this EUAA and to perform its obligations hereunder, without the need for any consents, licenses, or approvals not yet obtained; (b) its acceptance of and performance under this EUAA will not breach any oral or written agreement with any third party or any obligation owed by it to any third party, including Subscribing Customer; (c) the Customer Licensee Data will not infringe, violate or misappropriate any Intellectual Property Right or right of privacy held by any third party; (d) for Services or third-party services that include direct messaging services (e.g., confirmation messages, upsells, cart abandonment, checkout receipt), Customer Licensee is responsible for and will make the required disclosures to any persons to whom any Customer Licensee enables message sending features or sends messages using the Services, and will obtain all necessary consents from such persons, as may be required by applicable law and by the Customer Licensee’s policies or agreements with consumers; and (e) Customer Licensee is not located in, under the control of, or a national or resident of an embargoed country or a specially designated national under United States or other applicable Law.
  20. Disclaimer. THE SERVICES, AND ANY CONTENT AND SERVICES OBTAINED THROUGH OR IN CONNECTION WITH THE SERVICES, ARE PROVIDED UNDER THIS EUAA AS-IS, AND TO THE FULLEST EXTENT PROVIDED BY LAW, AMADEUS HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
  21. Assignment of Claims / Limitation of Liability. 
    1. Customer Licensee will promptly assign to Subscribing Customer for exclusive handling and resolution all claims that Customer Licensee may have against Amadeus, whether in contract, tort or otherwise, arising out of or relating to the Services or the EUAA.
    2. CUSTOMER LICENSEE will be liable to AMADEUS for any Losses arising out of or relating to its BREACH OF THIS EUAA; provided, however, that the liability of CUSTOMER LICENSEE (including ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS, OR ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS) to AMADEUS (including its Affiliates) for ITS BREACH OF THIS EUAA will not exceed, in the aggregate, an amount equal TO $1,000,000. The limitation SET FORTH IN THIS SECTION 20(b) WILL not apply to losses (I) Resulting from (A) CUSTOMER LICENSEE’S VIOLATION OF LAW, (B) CUSTOMER LICENSEES’ BREACH OF SECTION 5 or SECTIONs 11, 12, 14 or 15, OR (C) CUSTOMER LICENSEE’S WILLFUL MISCONDUCT OR FRAUD, OR (II) THAT ARE Subject to CUSTOMER LICENSEE’S Indemnification Obligations HERE under.
    3. ANY AND ALL LIABILITY of AMADEUS arising out of, or related to, the EUAA OR the services will be DETERMINED SOLELY PURSUANT TO THE SUBSCRIBING CUSTOMER AGREEMENT. accordingly, In no event will Amadeus OR ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS, OR ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, in connection with THIS EUAA OR the SERVICES. Customer licensee acknowledges that the terms in this Section 20 WILL APPLY: (A) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, (B) EVEN IF AN EXCLUSIVE OR LIMITED REMEDY STATED HEREIN FAILS OF ITS ESSENTIAL PURPOSE, AND (C) WITHOUT REGARD TO WHETHER SUCH CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE.  TO THE EXTENT THAT THIS DAMAGES DISCLAIMER IS LIMITED OR HELD INVALID UNDER APPLICABLE LAW, THE AGGREGATE LIABILITY OF AMADEUS UNDER THIS EUAA TO customer licensee FOR ALL CLAIMS AND DAMAGES IN CONNECTION WITH the euaa or the services WILL NOT EXCEED $1,000 U.S. DOLLARS.
  22. Indemnification. Customer Licensee will defend, indemnify, and hold harmless Amadeus, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any thirdparty claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees , including reasonable attorneys’ fees and costs (whether by settlement or award or by a final judicial judgment) arising out of or relating to (a) Customer Licensee’s (or its End Users’) violation of this EUAA, (b) a Customer Licensee Security Incident (c) Customer Licensee’s (or its End Users’)  violation of Customer Licensee Laws, including Data Protection Laws, or any other agreement entered into between Customer Licensee and Subscribing Customer, (d) a claim or threat that Customer Licensee Content or a Customer Licensee System (both as defined below) (and the exercise by Amadeus of the rights granted herein or under the Subscribing Customer Agreement with respect to each of the foregoing) infringes, misappropriates or violates any third-party’s intellectual property rights or any rights of privacy and (e) Customer Licensee’s (or its End Users’) gross negligence, willful misconduct or fraud.  For the purposes of this Section, “Customer Licensee Content” means Customer Licensee’s trademarks, tradenames, logos, images, information, content and Customer Licensee Data provided by or on behalf of Customer Licensee (whether owned or licensed by Customer Licensee) in connection with the Services; and “Customer Licensee System” means Customer Licensee’s networks, internal website(s), servers and other equipment and software used in the conduct of Customer Licensee’s business, including all of Customer Licensee’s third-party systems and software (for example, any internal or external revenue management system (RMS) or loyalty system of Customer Licensee or a third-party in support of Customer Licensee).
  23. Governing Law/Venue. Customer Licensee acknowledges and agrees that all claims the Customer Licensee has against Amadeus must be assigned to Subscribing Customer in accordance with Section 20(a). However, if Amadeus brings a claim against Customer Licensee, or if Customer Licensee brings a claim against Amadeus (in violation of Section 20(a)), the parties agree that:
    1. This EUAA and performance under this EUAA will be governed by and construed in accordance with the following laws depending on the Amadeus legal entity referenced in Section 1 above: (i) the laws of the State of New York (USA) for Amadeus Hospitality, Inc.; (ii) the laws of England and Wales for Amadeus Hospitality UK Limited; (iii) the laws of the Kingdom of Spain for Amadeus Hospitality Europe S.L; and (iv) the laws of Singapore, for Amadeus Hospitality Asia Pacific Pte. Ltd., in each case without regard to its choice of law principles. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to this EUAA.
    2. Amadeus and Customer Licensee irrevocably and unconditionally consent to submit any disputes arising out of or in connection to this EUAA to binding arbitration administered by the following arbitration entities depending on the Amadeus legal entity referenced in Section 1 above (and hereby waive any claims of forum non-conveniens with respect to such venue):
      1. Amadeus Hospitality, Inc.: arbitration will be administered the American Arbitration Association in accordance with its Commercial Arbitration Rules and the place of arbitration will be New York, New York (USA);
      2. Amadeus Hospitality UK Limited: arbitration will be administered by the International Chamber of Commerce (“ICC”) under their Rules of Arbitration, and the place of arbitration will be London, England;
      3. Amadeus Hospitality Europe S.L.: arbitration will be administered by the ICC under their Rules of Arbitration, and the place of arbitration will be Madrid, Spain; and
      4. Amadeus Hospitality Asia Pacific Pte. Ltd.: arbitration will be administered by the Singapore International Arbitration Centre under their Arbitration Rules and the place of arbitration will be Singapore.
        Arbitration tribunal will consist of three arbitrators. Each party will nominate one arbitrator within 30 days of referral to arbitration. The third arbitrator (serving as chairman) will be nominated by agreement between the two party-nominated arbitrators within 20 days of the second appointment’s confirmation. Failing agreement, the arbitration entity will appoint the third arbitrator. Arbitration language will be English. Judgment on the award may be entered in any court of competent jurisdiction. Both Parties have the right to pursue equitable relief in the courts located in the applicable place of arbitration and agree to the exclusive jurisdiction and venue of such courts.
  24. General. If any provision of this EUAA is held invalid or unenforceable for any reason, the remainder of the provision will be amended to achieve as closely as possible the economic and legal effect of the original term and all other provisions will continue in full force and effect. Except as provided in this Section, neither party may, or will have the power to, assign this EUAA, or any of its rights or obligations thereunder, in whole or part, without the prior written consent of the other Party. Notwithstanding the foregoing, Amadeus may assign this EUAA, and its rights or obligations thereunder, in whole or in part, upon written notice to and without the approval of Customer Licensee, (a) to one or more of its affiliates; or (b) as part of a corporate reorganization (including for tax purposes), merger, acquisition, divesture or sale of all or substantially all of the assets of Amadeus or an affiliate of Amadeus. Customer Licensee shall provide written notice to Amadeus any time there is a change in the brand, management company, owner of Customer Licensee, or owner of a Customer Property and in such case, Customer Licensee must provide evidence reasonably acceptable to Amadeus that the new brand, management company, or owner (as applicable) has agreed to assume all obligations hereunder. Any purported assignment or transfer in violation of this section may be deemed void by Amadeus. No term or provision of this EUAA will be considered waived by Amadeus, and no breach excused by Amadeus, unless such waiver or consent is in writing signed by Amadeus. No consent by Amadeus to, or waiver of, a breach by Customer Licensee or others, whether express or implied, will constitute consent to, waiver of, or excuse of any other, different, or subsequent breach by Customer Licensee or others. Amadeus is an independent contractor to Customer Licensee. There is no relationship of agency, partnership, joint venture, employment, or franchise between the parties, and neither party has the authority to bind the other or to incur any obligation on its behalf. This EUAA constitutes the entire agreement between the parties relating to the subject matter hereunder and supersedes all prior or simultaneous understandings, representations, discussions, negotiations, quotations, responses to requests for proposals, information or quotes and agreements, whether written or oral. No amendment to, or change, waiver or discharge of, any provision of this EUAA will be valid unless in writing and signed by an authorized representative of each party.
